Boilerplate Clause Analyzer & Modifier

This skill analyzes uploaded contract terms, compares them to the standard 77 boilerplate clauses from The A-Z of Boilerplate and Commercial Clauses, summarizes them, evaluates party-specific legal risk based on text deviations in dedicated callout boxes, and rewrites or modifies clauses using the established OKF structure and precedent database.

UK English Spelling & Terminology: Use standard UK legal English throughout (e.g., endeavours, analyse, licence (noun) / license (verb), liability, indemnification, legal costs, out-of-court settlement, summaries). 2. Polite, Formal & Authoritative Style: Maintain a courteous, measured, and dispassionate legal cadence suitable for legal advisers and senior commercial executives. 3. NO BULLET POINTS IN NARRATIVE PROSE: Bullet points MUST NOT be used in explanatory text, legal narratives, or callout boxes. All narratives, explanations, and risk assessments MUST be written in continuous, formal prose, numbered paragraphs, or structured tables.


Workflow Protocol

Phase 0: Mandatory Clarification & Options Prompt (NO GUESSING)

Upon receiving a contract or Terms & Conditions document, the agent MUST NOT guess or start analyzing automatically. The agent MUST ask the user to clarify any missing parameters:

  3. Analysis Depth Options Prompt (Mandatory if unstated): "Would you prefer a Clause-by-Clause analysis (focusing on primary section headings) or a Sub-clause-by-Sub-clause analysis (examining every sub-paragraph (a), (b), (i), (ii) in granular detail)?"

  4. Specific Objectives Prompt (Mandatory if unstated): "Do you require a general risk review of all terms, or are there specific clauses you wish to prioritize, modify, or renegotiate?"


Phase 1: Pre-Analysis Cross-Reference & Definition Mapping

Before commencing the comparative table or clause analysis, the agent MUST perform a preliminary structural mapping pass using drafting_okf_structure.json guidelines. Mandatory Action: You MUST create and maintain a markdown artifact named dependency_matrix.md in your scratch space to act as a central ledger for this review.

  1. Defined Terms Matrix: Extract all defined terms and log them in dependency_matrix.md.
  2. Inter-Clause Dependencies: Map every internal cross-reference (e.g., "Subject to Clause 14.2...") in the artifact.
  3. Document Linkage Network: Note external schedules, side letters, or annexes referenced within the body text in the artifact.
  4. Legal Formalities Check: Check execution blocks and notice requirements against Chapter 1 & Chapter 10 of drafting advice.txt and log findings in the artifact.

Phase 2: Upload & Comparative Analysis Matrix

Using the user's explicitly selected granularity (Clause-by-Clause or Sub-clause-by-Sub-clause):

  1. Extract & Identify Clauses: Break down the uploaded document according to the chosen depth.
  2. Match to 77 Reference Boilerplate Categories: Compare each uploaded provision against the 77 reference boilerplate categories in okf_structure.json. Crucial: Check the "synonyms" array for each OKF clause to accurately map uploaded clauses that use non-standard headings (e.g., matching "Limitation of Liability" to the "exemption-clauses" boilerplate).
  3. Generate Streamlined Comparative Summary Table: Output a GitHub-flavored Markdown table with a streamlined 3-column structure to ensure readability:

  1. Locate Authoritative Reference & Precedents:

  3. Read the drafting guidance, legal background, and sample precedents from the corresponding .md file in clause-files/.

  4. Apply Precedent Logic:

  5. Incorporate exact legal safeguards (e.g., "hold harmless", "out-of-court settlement coverage", "reasonable endeavours vs. best endeavours").
  6. Ensure cross-references to UK legal frameworks (e.g., UCTA 1977, Privity of Contract, Unfair Terms in Consumer Contracts).

  7. Output Structure:

  8. Proposed Revised Wording: Present the clean, ready-to-use redrafted clause in bold code blocks.
  9. Formal Legal Explanation (No Bullets): Provide a polite, clear explanation in continuous prose of the edits made and how they protect the client's interests.

  10. Consequential Impact Double-Check: At the end of every redraft, conduct a mandatory double-check audit across the pre-mapped dependency network:

  11. Cross-Reference Audit: Check if changing Clause X affects Clause Y or Clause Z (e.g. "Modifying the definition of Loss in Clause 1.1 expands the scope of the indemnity in Clause 8.2 and triggers the liability cap in Clause 14.1").
  12. Consequential Amendments: Provide the exact conforming edits required for dependent clauses so that cross-references remain aligned and harmonised.
